ProtoForge

Deterministic contract infrastructure for production music publishing

ProtoForge hero

A platform that assembles legally compliant publishing agreements from pre-approved clause libraries — no AI-generated legal text, ever. Built for production music library publishers who need contracts generated in seconds, not weeks, with complete audit trails and DDEX/CWR compliance.

Process

Music publishing contracts are still assembled by hand. A production music library managing hundreds of composers spends weeks drafting agreements that are structurally identical — same clause types, same territorial structures, same royalty frameworks — yet each one starts from scratch. Legal review bottlenecks everything. Version control lives in email threads. And when a publisher needs to prove exactly how a contract was assembled and which clauses were included, there's no reliable audit trail. The wave of AI contract tools makes this worse, not better. They generate plausible-sounding legal text that no one has actually approved. The output looks professional, but it's not deterministic — run it twice and you might get different wording. For music rights, where a single ambiguous clause can cost six figures in disputed royalties, that's not a trade-off anyone should accept.

The problem

Challenge

Production music publishers manage hundreds of composer relationships, each requiring legally precise agreements covering territorial rights, royalty splits, re-titling provisions, and sync licensing terms. The industry relies on manual contract drafting, email-based version control, and legal review cycles that take weeks — even when the underlying agreements are structurally repetitive.

Approach

We designed a constitutional framework where every piece of legal text comes from a pre-approved clause library, assembly is entirely deterministic, and a cryptographic audit trail records every decision. The architecture separates what AI is permitted to do (select, explain, validate) from what it is never permitted to do (generate legal text) — a distinction enforced at the system level, not the prompt level.

Outcome

A production-ready contract platform that generates fully compliant publishing agreements in under 10 seconds, with 115 pre-approved clauses, 134 DDEX/CWR-validated tokens, and complete hash-chain audit trails. Every contract is reproducible, every clause is traceable, and the system is designed for the compliance requirements that production music publishers actually face.
